Terms of Service

1. Acceptance of Terms

By accessing or using Bytiz ("the Platform"), operated by UNDE Navigator LLC, you agree to be bound by these Terms of Service, the Platform Rules, and the Privacy Policy. If you do not agree to any part of these documents, you must not use the Platform.

2. Description of Service

Bytiz is a competitive marketplace where businesses ("Clients") post MVP development projects and multiple developer teams ("Teams") compete to build them. The Platform facilitates the connection between Clients and Teams, manages competitions, provides security reviews of submissions, and handles payment escrow.

3. User Accounts and Eligibility

You must be at least 18 years old to use the Platform. You must provide accurate, complete, and current information during registration. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access.

Each person or entity may maintain only one account. Creating multiple accounts to manipulate competitions, reviews, or ratings is grounds for immediate termination.

4. Platform Credits and Tokens

Bytiz may issue platform credits, tokens, or promotional balances ("Credits") for use within the Platform. The following rules apply:

  • Intended use only. Credits may only be used for their designated purpose on the Platform — posting projects, paying for services, or rewarding teams.
  • Non-transferable. Credits cannot be sold, transferred, exchanged, or gifted to third parties outside the Platform.
  • No cash value. Credits cannot be redeemed for cash, cryptocurrency, or any form of monetary equivalent unless explicitly stated by Bytiz.
  • No external trading. Any attempt to sell, buy, or trade Credits on external marketplaces, forums, or peer-to-peer platforms is strictly prohibited and will result in immediate account termination and forfeiture of all Credits.
  • Fraud prevention. Bytiz reserves the right to revoke Credits obtained through abuse, exploits, bugs, or any form of manipulation. This includes creating fake accounts, submitting fraudulent projects, or exploiting referral programs.
  • Expiration. Credits may have an expiration date. Expired Credits are forfeited without compensation.

5. Client Terms

Clients agree to the following when using the Platform:

  • Post projects with a clearly defined scope, budget ($300–$2,000), and timeline.
  • Full payment is held in escrow by the Platform before the competition begins. No competition starts without confirmed payment.
  • Clients must select a winner within 5 business days of receiving final submissions. Failure to select a winner within this period allows Bytiz to auto-select based on the scoring algorithm.
  • Upon selecting a winner and confirming acceptance, all intellectual property rights for the winning code transfer to the Client.
  • Clients may request a full refund only if no submission meets the minimum quality threshold as determined by the Platform's scoring system.
  • Clients must not use the Platform to solicit Teams for work outside Bytiz. All payments must go through the Platform.

6. Developer Team Terms

Developer Teams agree to the following:

  • All submitted code must be original work created specifically for the competition. Use of open-source libraries is permitted if properly licensed and disclosed.
  • Submissions must not contain plagiarized code, malware, backdoors, intentional vulnerabilities, or any code designed to cause harm.
  • Teams must not include hidden functionality (such as kill switches, remote access, data exfiltration, or time bombs) in their submissions.
  • Teams must not collude with other teams, share submissions, or coordinate to manipulate competition outcomes.
  • By submitting work, Teams grant the Platform the right to review, score, audit, and (for the winning submission) transfer the code to the Client.
  • Non-winning submissions remain the intellectual property of their respective Teams, but Bytiz retains the right to reference them anonymously for quality benchmarking.
  • Teams must not solicit Clients for work outside the Platform.

7. Platform Rules and Prohibited Conduct

All users agree not to:

  • Use the Platform for any illegal purpose or in violation of any applicable laws.
  • Attempt to reverse-engineer, decompile, or extract the source code of the Platform itself.
  • Circumvent the Platform to conduct transactions directly with other users ("off-platform dealing"). This includes sharing personal contact details for the purpose of avoiding Platform fees.
  • Manipulate ratings, reviews, or competition scores through fake accounts, collusion, or bribery.
  • Upload or transmit viruses, malware, or any harmful code to the Platform.
  • Harass, threaten, or abuse other users.
  • Use automated scripts, bots, or scraping tools to access the Platform without written permission.
  • Misrepresent your identity, skills, or affiliation.
  • Use AI-generated code submissions without disclosure (AI-assisted development is encouraged and expected, but fully automated submissions without human review and oversight are prohibited).

Violation of any Platform Rule may result in: warning, temporary suspension, permanent ban, forfeiture of Credits, and/or withholding of pending payments.

8. Security Review and Red Team Audits

All competition submissions undergo a security review by an independent red team. This review covers:

  • Code quality and adherence to best practices.
  • Known vulnerability scanning (OWASP Top 10, dependency audits).
  • Detection of malicious code, backdoors, or hidden functionality.
  • Verification that submissions meet the project requirements.

Submissions that fail the security review are disqualified. The red team's findings are shared with the Client in a summary report. Bytiz does not guarantee that all vulnerabilities will be found — the security review is a best-effort process, not a certification.

9. Fees, Payments, and Escrow

Bytiz charges a platform fee of 15–25% on each project, depending on the tier. Fees are deducted from the project budget before payment to the winning Team. All prices are listed in USD. Payment processing is handled by third-party providers (Stripe).

Escrow: Client funds are held securely until the competition concludes and a winner is confirmed. Funds are released to the winning Team within 5 business days of winner confirmation. In case of disputes, funds remain in escrow until the dispute is resolved.

10. Dispute Resolution and Appeals

Bytiz provides a structured appeals process for resolving disputes between Clients and Teams:

10.1 When You Can File an Appeal

  • A Client believes the winning submission does not meet the project requirements.
  • A Team believes their submission was unfairly scored or disqualified.
  • Either party suspects a violation of Platform Rules (collusion, plagiarism, fraud).
  • A dispute over intellectual property ownership.
  • A disagreement regarding refund eligibility.

10.2 How to File an Appeal

  • Appeals must be filed within 7 calendar days of the event being disputed.
  • Submit your appeal through the Platform's dispute resolution form with a clear description of the issue and any supporting evidence (screenshots, code references, communications).
  • Each party may file only one appeal per competition event.

10.3 Review Process

  • Acknowledgment: Bytiz will acknowledge receipt of the appeal within 2 business days.
  • Investigation: Our review team will examine the submission, scoring data, red team audit, and any evidence provided. Both parties may be asked for additional information.
  • Decision: A decision will be issued within 10 business days of filing. Decisions are communicated to both parties in writing.

10.4 Possible Outcomes

  • Appeal upheld: the original decision is reversed, and appropriate corrective action is taken (rescoring, new winner selection, refund, or penalty).
  • Appeal denied: the original decision stands, with a written explanation.
  • Partial resolution: a compromise is reached (partial refund, bonus payment, etc.).

10.5 Escalation

If you are not satisfied with the outcome, you may request a final review by Bytiz management within 5 business days of the initial decision. This is the final internal step. Beyond this, disputes are governed by the applicable law as specified in Section 15.

11. Intellectual Property

Upon completed payment and winner confirmation:

  • The Client receives full, exclusive ownership of the winning submission's source code, including all rights to modify, distribute, and commercialize it.
  • Non-winning submissions remain the property of their respective Teams. Teams may reuse their non-winning code in future projects.
  • The Bytiz name, logo, platform design, scoring algorithms, and all Platform content are property of UNDE Navigator LLC.
  • Clients grant Bytiz the right to reference their project (without confidential details) in marketing materials and case studies, unless they opt out in writing.

12. Confidentiality

Both Clients and Teams agree to keep project details, submissions, and communications confidential. Specifically:

  • Teams must not share Client project briefs with third parties.
  • Clients must not share non-winning team submissions with third parties.
  • Competition scores, red team reports, and internal Platform data are confidential and may not be published without written consent from Bytiz.

13. Limitation of Liability

Bytiz provides the Platform "as is" and "as available" without warranties of any kind, express or implied. We are not liable for:

  • Any indirect, incidental, special, or consequential damages arising from your use of the Platform.
  • Loss of profits, data, or business opportunities.
  • The quality, safety, or legality of code submitted by Teams.
  • Any actions taken by Clients or Teams outside the Platform.

Our total aggregate liability to you for any claims arising from or relating to the Platform is limited to the amount you paid to us in the 12 months preceding the claim, or $500, whichever is greater.

14. Termination

We may suspend or permanently terminate your account for violation of these Terms or Platform Rules. You will be notified of the reason. You may close your account at any time by contacting us. Upon termination:

  • Outstanding payments owed to you will be processed within 30 business days.
  • Any unused Credits are forfeited.
  • Your data will be handled in accordance with our Privacy Policy.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of Georgia. Any disputes not resolved through the appeals process will be submitted to the exclusive jurisdiction of the courts in Tbilisi, Georgia.

16. Changes to Terms

We may update these Terms at any time. Material changes will be announced at least 14 days in advance via email and a notice on the Platform. Continued use of the Platform after the effective date of changes constitutes acceptance.
